This Affiliate Program Agreement (the “Agreement”) is entered into by and between SoundMarket, Inc. (“SoundMarket,” “Company,” “we,” “us,” or “our”) and the person or entity applying to, enrolling in, accessing, or participating in the SoundMarket Affiliate Program (“Affiliate,” “you,” or “your”).
By applying to, enrolling in, accessing, or participating in the Program, you agree to be bound by this Agreement. If you do not agree, you may not participate in the Program.
1. The Program
The SoundMarket Affiliate Program (the “Program”) allows affiliates to promote SoundMarket's subscription services using unique tracking links provided by SoundMarket or its designated affiliate platform. Subject to this Agreement, Affiliate may earn commissions on certain qualifying customer purchases attributed to Affiliate.
2. Eligibility; Enrollment; Ongoing Review
- The Program may be made available through automatic, streamlined, or immediate enrollment. By enrolling in or participating in the Program, Affiliate agrees to be bound by this Agreement and all applicable Program Policies.
- Notwithstanding any automatic or streamlined enrollment process, participation in the Program is at all times subject to SoundMarket's ongoing review and continuing eligibility requirements.
- Affiliate must provide accurate, complete, and current information in connection with enrollment and participation in the Program, including legal name, business name if applicable, website(s), social channels, payment details, and tax information.
- Affiliate must promptly update any information that becomes inaccurate, incomplete, or outdated.
- SoundMarket may, at any time and in its sole reasonable discretion, review, reject, suspend, restrict, or terminate any Affiliate account, referral source, traffic source, promotional method, referred account, or commission if SoundMarket determines that:
- Affiliate has violated this Agreement or any Program Policy;
- Affiliate has violated applicable law or platform rules;
- Affiliate's conduct may expose SoundMarket to legal, payment, platform, operational, or reputational risk; or
- the Affiliate, referral, or commission is otherwise not eligible under this Agreement.
- Enrollment in the Program does not create a vested right to remain in the Program, to continue using Affiliate Links, or to receive commissions except as expressly provided in this Agreement.
3. Definitions
Affiliate Link means the unique referral link, code, or other tracking mechanism made available to you by SoundMarket or its affiliate platform.
Qualified Referral means a new customer who: (a) clicks your Affiliate Link; (b) is properly tracked by SoundMarket's systems within the applicable attribution window; (c) creates an account and purchases a qualifying paid subscription to SoundMarket; (d) is not an existing or former paying customer of SoundMarket; (e) is not referred in violation of this Agreement; and (f) is accepted by SoundMarket as a valid referral.
Net Revenue means subscription revenue actually received by SoundMarket from a Qualified Referral, excluding taxes, refunds, credits, discounts, chargebacks, payment reversals, processor fees if applicable, and any amounts not ultimately collected by SoundMarket.
Commission Period means, for each Qualified Referral, the period set forth in the Commission Schedule for the applicable Program, beginning on the date a Qualified Referral first purchases a paid SoundMarket subscription.
Commission Schedule means Schedule A to this Agreement, which sets forth the commission rate, Commission Period, attribution window, minimum payout threshold, and payment frequency applicable to each Program in which Affiliate participates. SoundMarket may update the Commission Schedule from time to time in accordance with Section 18.
Program Policies means any additional affiliate policies, brand guidelines, promotional guidelines, payment rules, or platform terms that SoundMarket provides or makes available to Affiliate from time to time.
4. Affiliate Links; Tracking; Attribution
- If Affiliate enrolls in the Program, SoundMarket may provide Affiliate with one or more Affiliate Links.
- Affiliate may use only Affiliate Links, creative assets, and promotional materials approved or provided by SoundMarket.
- Referral tracking, attribution, qualification, and commission eligibility shall be determined by SoundMarket's systems and records, which shall control absent manifest error.
- SoundMarket attributes referrals using the attribution window set forth in the Commission Schedule for the applicable Program. A referral may be attributed to Affiliate only if SoundMarket's tracking systems record the referral through Affiliate's unique Affiliate Link and the referred customer completes a qualifying purchase within the applicable attribution window, subject to this Agreement and SoundMarket's attribution rules.
- SoundMarket may deny attribution or commission credit where:
- the customer is an existing or former customer;
- the referral is attributed to another affiliate, partner, campaign, or channel;
- the referral resulted from prohibited conduct;
- the referral or transaction is fraudulent, invalid, canceled, refunded, reversed, or uncollectible; or
- SoundMarket reasonably determines the referral is not a Qualified Referral.
- SoundMarket is not responsible for tracking failures caused by unauthorized link modification, technical issues, cookie deletion, browser or platform restrictions, privacy controls, ad blockers, or circumstances outside SoundMarket's reasonable control.
5. Commissions
- Subject to this Agreement, SoundMarket will pay Affiliate, on each Qualified Referral during the applicable Commission Period, the commission rate set forth in the Commission Schedule for the applicable Program, applied to Net Revenue actually received by SoundMarket.
- The Commission Period for each Qualified Referral is set forth in the Commission Schedule for the applicable Program, measured from the date of the Qualified Referral's initial paid subscription.
- No commission is earned unless and until the underlying referral and transaction have been validated by SoundMarket.
- SoundMarket may withhold, deny, reverse, offset, or claw back commissions associated with any referral or transaction that SoundMarket determines, in its sole reasonable discretion, is invalid, fraudulent, deceptive, noncompliant, refunded, reversed, charged back, self-referred, improperly attributed, or otherwise ineligible under this Agreement.
- Unless otherwise expressly approved in writing by SoundMarket, commissions are not payable on:
- taxes;
- refunds, partial refunds, credits, or chargebacks;
- fraudulent transactions;
- free trials, free plans, test accounts, internal accounts, or sandbox accounts;
- subscriptions obtained through self-referrals or prohibited conduct;
- accounts that fail to remain in good standing;
- renewals or purchases outside the Commission Period; or
- any revenue not actually received by SoundMarket.
- Enrollment in the Program, issuance of an Affiliate Link, or appearance of referral activity in an affiliate dashboard does not guarantee that any commission is earned or payable.
- SoundMarket will not owe more than one commission on the same customer or transaction unless SoundMarket expressly agrees otherwise in writing.
- SoundMarket reserves the right to modify commission rates, qualifying products, attribution rules, and program structure at any time in accordance with Section 18.
6. Payment Terms
- Commissions, if any, are generally calculated monthly and paid within 30 days after the end of each calendar month, subject to validation, fraud review, and this Agreement.
- The minimum payout threshold set forth in the Commission Schedule applies. If your accrued payable commissions do not meet the threshold, they will roll over to the next payment cycle.
- Payment methods may include PayPal, Wise, Payoneer, or other methods designated by SoundMarket from time to time.
- You are solely responsible for maintaining complete and accurate payout and tax information. SoundMarket may withhold payment until all required payment and tax documentation has been provided.
- SoundMarket may withhold, delay, or place on hold any payment while investigating suspected fraud, abuse, invalid traffic, disclosure failures, trademark violations, self-referrals, or other conduct that may violate this Agreement.
- If SoundMarket determines that commissions were previously paid on ineligible transactions, SoundMarket may offset those amounts against future commissions or require repayment to the extent permitted by law.
- SoundMarket may offset any amounts owed by Affiliate to SoundMarket against commissions otherwise payable to Affiliate.
- Affiliate is solely responsible for all taxes, duties, levies, fees, bank fees, transfer fees, and other charges arising from commissions paid under this Agreement. If SoundMarket is legally required to withhold taxes, SoundMarket may do so.
7. Affiliate Obligations
- You will promote SoundMarket in a lawful, truthful, professional, and brand-safe manner.
- You will not make any false, misleading, deceptive, unsubstantiated, or disparaging statements about SoundMarket, its services, pricing, licenses, legal coverage, or business.
- You may not make representations, warranties, guarantees, or commitments on SoundMarket's behalf.
- You will comply with all applicable laws, rules, and regulations, including advertising, privacy, consumer protection, anti-spam, endorsement, disclosure, intellectual property, and platform-specific rules.
- Where required by applicable law or guidance, including FTC endorsement rules, you must clearly and conspicuously disclose your relationship with SoundMarket, including that you may earn commissions from qualifying purchases.
- You are responsible for your websites, channels, content, media buys, promotions, and all materials used in connection with the Program.
8. Prohibited Conduct
Affiliate acknowledges that because enrollment may occur automatically or with limited pre-screening, strict compliance with this Agreement is a condition of continued participation in the Program and of any right to receive commissions.
Affiliate shall not, directly or indirectly:
- engage in false, misleading, or deceptive advertising;
- send spam or unsolicited email, SMS, direct messages, or other communications in violation of law;
- bid on, purchase, or use SoundMarket's trademarks, brand terms, domain names, social handles, or confusingly similar variations or misspellings in paid search, ad copy, display URLs, account names, or social usernames, unless expressly authorized in writing;
- use coupon, rebate, cashback, incentive, loyalty, or deal-based promotions unless expressly authorized in writing;
- use cookie stuffing, click injection, forced redirects, bots, fake traffic, hidden frames, automated scripts, misleading popups, spyware, parasitic marketing, or other fraudulent or manipulative attribution methods;
- mask or spoof referrer information or otherwise interfere with SoundMarket's tracking systems;
- make self-referrals, refer accounts owned or controlled by you, create fake accounts, or refer family, household, employees, contractors, or affiliates for the primary purpose of generating commissions;
- promote SoundMarket on websites, channels, or content that are unlawful, infringing, defamatory, obscene, hateful, violent, harassing, or otherwise objectionable as determined by SoundMarket;
- impersonate SoundMarket, create the impression that you are SoundMarket, or suggest any endorsement, partnership, sponsorship, or employment relationship that does not exist;
- use SoundMarket's trademarks or creative assets except as expressly permitted under this Agreement; or
- engage in any activity that violates the spirit of the Program or may harm SoundMarket's reputation, goodwill, or business interests.
9. SoundMarket Marks and Marketing Materials
- Subject to this Agreement, SoundMarket grants Affiliate a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of this Agreement to use approved SoundMarket trademarks, logos, and marketing materials solely for participation in the Program.
- Affiliate may use only materials provided or approved by SoundMarket and may not modify them without prior written consent.
- Affiliate shall comply with all SoundMarket brand guidelines and instructions.
- All goodwill arising from Affiliate's use of SoundMarket's marks inures solely to SoundMarket's benefit.
- SoundMarket may revoke Affiliate's right to use any SoundMarket mark or material at any time, with or without cause.
10. Proprietary Rights
- Except for the limited license expressly granted in this Agreement, neither party grants the other any right, title, or interest in or to its intellectual property.
- SoundMarket and its licensors retain all right, title, and interest in and to the SoundMarket website, services, trademarks, content, technology, and related intellectual property.
11. Confidentiality
- Affiliate shall keep confidential any non-public information disclosed by SoundMarket in connection with the Program, including commission terms not publicly disclosed, business plans, platform information, technical information, and customer information (“Confidential Information”).
- Affiliate shall not use or disclose Confidential Information except as necessary to perform under this Agreement.
- Confidential Information does not include information that:
- is or becomes public through no fault of Affiliate;
- was lawfully known to Affiliate without restriction before disclosure;
- is lawfully obtained from a third party without breach of obligation; or
- is independently developed without use of Confidential Information.
12. Term and Termination
- This Agreement begins when Affiliate enrolls in the Program and continues until terminated.
- Either party may terminate this Agreement for convenience upon 30 days' written notice.
- SoundMarket may suspend or terminate this Agreement, the Affiliate account, any Affiliate Link, or any commission eligibility immediately and without prior notice if SoundMarket suspects or determines that:
- Affiliate breached this Agreement or any Program Policy;
- Affiliate engaged in deceptive, misleading, unlawful, or brand-damaging conduct;
- Affiliate failed to make required disclosures;
- Affiliate generated invalid, fraudulent, or noncompliant traffic or referrals; or
- continued participation presents legal, payment, platform, operational, or reputational risk to SoundMarket.
- Upon suspension or termination, Affiliate must immediately cease all promotion of SoundMarket and remove all Affiliate Links and SoundMarket marks from its websites, channels, and materials.
- Following termination, Affiliate shall remain eligible only for accrued, undisputed commissions on Qualified Referrals generated before termination and fully validated by SoundMarket, provided the underlying transactions are fully paid, not refunded, not reversed, not fraudulent, and not otherwise disqualified.
- If SoundMarket terminates or suspends Affiliate for cause, including fraud, disclosure failures, trademark abuse, self-referrals, spam, or other prohibited conduct, SoundMarket may forfeit, withhold, reverse, or offset unpaid commissions to the fullest extent permitted by law.
13. Representations and Warranties
Affiliate represents and warrants that:
- Affiliate has full power and authority to enter into this Agreement;
- Affiliate's participation in the Program will not violate any agreement or applicable law;
- Affiliate will comply with all applicable laws, rules, and regulations;
- Affiliate owns or has the necessary rights to all websites, channels, content, and materials it uses in connection with the Program; and
- Affiliate's promotional activities will not infringe, misappropriate, or otherwise violate any third-party rights.
14. Disclaimer
THE PROGRAM, AFFILIATE LINKS, TRACKING, PLATFORM TOOLS, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDMARKET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
SOUNDMARKET DOES NOT WARRANT THAT THE PROGRAM OR TRACKING WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDMARKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDMARKET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PROGRAM SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO AFFILIATE UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
Affiliate shall defend, indemnify, and hold harmless SoundMarket and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all third-party claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Affiliate's participation in the Program;
- Affiliate's websites, channels, content, advertising, or promotional activities;
- Affiliate's breach of this Agreement or applicable law;
- Affiliate's negligence, willful misconduct, fraud, or misrepresentation; or
- any claim that Affiliate's content or conduct infringes, misappropriates, or violates a third party's rights.
17. Independent Contractor; No Agency
Affiliate is an independent contractor. Nothing in this Agreement creates any employment, agency, partnership, franchise, joint venture, fiduciary, or other similar relationship between the parties. Affiliate has no authority to bind SoundMarket or act on SoundMarket's behalf.
18. Modifications
- SoundMarket may modify this Agreement or the Program Policies at any time by posting an updated version, notifying Affiliate by email, dashboard, or other reasonable means, or both.
- Unless otherwise stated, modifications become effective when posted or as otherwise specified in the notice.
- Affiliate's continued participation in the Program after the effective date of any modification constitutes acceptance of the modified Agreement.
- If Affiliate does not agree to a modification, Affiliate must stop participating in the Program and terminate this Agreement.
19. Additional Policies
Affiliate's participation in the Program is also subject to SoundMarket's then-current Terms of Service, Privacy Policy, Brand Guidelines, and any Program Policies, each of which is incorporated into this Agreement by reference to the extent applicable.
20. No Obligation to Pre-Screen or Monitor
SoundMarket may, but is not obligated to, pre-screen, monitor, review, or police Affiliate's websites, channels, traffic sources, content, disclosures, or promotional methods. SoundMarket's failure to review, object to, or detect any conduct does not constitute approval of such conduct, does not waive any of SoundMarket's rights, and does not limit Affiliate's responsibilities under this Agreement.
21. General
- Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
- Venue. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction and venue of those courts.
- Assignment. Affiliate may not assign, transfer, delegate, or sublicense this Agreement without SoundMarket's prior written consent. SoundMarket may assign this Agreement freely.
- Severability. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. No waiver of any provision of this Agreement shall be effective unless in writing. A failure to enforce any provision is not a waiver.
- Entire Agreement. This Agreement, together with any incorporated policies and Program Policies, constitutes the entire agreement between the parties regarding the Program and supersedes all prior or contemporaneous understandings relating to the subject matter.
- Notices. Notices may be given by email to the address associated with your affiliate account or by posting through the affiliate platform or dashboard, and will be deemed given when sent or posted.
